Who runs the company
Governing persons — Article 3
The members run it themselves. The alternative is manager-managed, where
named managers do.
An address is required for every governing person.
Purpose and organizer
Articles 4 and 5
Texas allows a general purpose. A narrower one is only needed if a licence
or a tax-exempt application asks for it.
The organizer signs the certificate. Signing also affirms that your
registered agent has consented to serve — which is why we record our consent
before the certificate is transmitted, not after.
