Terms of Service
Effective October 22, 2026
These terms are an agreement between you and Inscriptios LLC ("Inscriptios", "we"), a Texas limited liability company at 305 East Huntland Drive, Austin, Texas 78752. By creating an account or paying us, you agree to them on behalf of yourself and the company you sign up.
1. What we do
- Form your company. We prepare your certificate of formation from the answers you give us and file it with the Texas Secretary of State.
- Act as your registered agent. Our office at 305 East Huntland Drive, Austin, Texas 78752 is your registered office. We accept legal papers and official mail for your company there, Monday to Friday, 9:00 am to 5:00 pm.
- Move your agent to us. For an existing company, we file a change of registered agent (Form 401) naming us.
We are not a law firm or an accounting firm. We do not give legal or tax advice, and nothing on this site is advice. We file what you tell us to file.
2. Your consent to appoint us
Texas requires a registered agent to consent before being named. You sign that consent electronically during signup, and you authorize us to sign and file the documents for your company described on the screens you approve. Each signed document gets a verification code you can check at inscriptios.com/verify.
3. Your responsibilities
- Give us true, complete information, and tell us when it changes: officers, managers, addresses, email and phone.
- Keep an email address and phone number where we can reach you. Legal papers can carry short deadlines, and we can only forward them to the contacts you give us.
- Choose your company name. We do not check whether a name is available or infringes anyone's rights; the state may reject a name that is not available.
- Keep your company in good standing, including franchise tax reports, unless you buy that service from us separately.
4. Fees
Our current fees are on our fee schedule, which is part of these terms.
- Forming: $199 plus the state's filing fee, charged at cost and shown separately, plus the state's card fee. Includes your first year of registered agent service.
- Moving your agent to us: $125 up front, covering 2 years of agent service (the first free), plus the state's fee at cost.
- Renewal: $125 a year per company, charged automatically to your card on file on each renewal date at our then-current price. We do not send a reminder before renewal. Your renewal date is shown in your account.
- Mail we forward: $30 for each item we scan and forward; state compliance notices from the Secretary of State and the Comptroller are free. Mailing you a paper original costs $99 for up to 100 pages and $0.15 for each page after that. Junk mail is not forwarded or charged.
Mail charges are billed monthly to your card on file. You can see every charge, including free items, in your account.
5. Renewal, cancellation and non-payment
Your agent service renews every year until you cancel. To cancel, file a change of registered agent naming someone else (or have us do it), then tell us. Cancelling stops future renewals; it does not refund a year already started (see the Refund Policy).
If a renewal or mail charge is not paid, we remain your registered agent and keep forwarding legal papers until our resignation takes effect. Texas law sets that process: we notify your company, notify the Secretary of State within 10 days, and our resignation takes effect on day 31 after the state receives it. We may begin that process if a charge is unpaid for 60 days.
6. Service of process and mail
When legal papers are served on us for your company, we scan them and notify you by email and text the same business day. Other official mail is scanned and you are notified by email. We hold paper originals for 30 days, then shred them unless you ask us to mail them to you. We keep scans of legal papers and state notices for at least 7 years, even after you leave us.
We are responsible for receiving and promptly forwarding what is delivered to us. We are not responsible for deadlines you miss after we have forwarded something to the contacts on your account, or for papers that are never delivered to our office.
7. Electronic records and signatures
You agree to do business with us electronically: to sign documents, receive notices and get receipts by email, text and in your account. Electronic signatures you give us have the same effect as handwritten ones.
8. Limits on our liability
To the extent the law allows: our services are provided as described here and without other warranties; we are not liable for indirect, consequential or lost-profit damages; and our total liability to you is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.
9. Ending the agreement
You may stop using us at any time as described in section 5. We may end this agreement for non-payment, false information, or misuse of our address, and if we are your agent we will resign as Texas law requires rather than simply stop.
10. Changes to these terms
We may update these terms and our fees. We will post changes on this page with a new effective date and email you at least 30 days before a fee increase applies to your account.
11. Law and disputes
Texas law governs these terms. Any dispute will be decided in the state or federal courts in Travis County, Texas.
